1. Acceptance of These Terms

These terms of use are entered into by and between You and DoseMatters Solutions LLC, and as applicable, our subsidiaries and affiliates (collectively referred to herein as "DoseMatters," "we," or "us"). The following terms and conditions, and any other documents expressly incorporated by reference (these "Terms"), govern your access to and use of our website (the "Site"), any customer portals or platforms we operate or provide access to (the "Portal"), and all content, functionality, and services offered thereon (together with the Site and the Portal, the "Services").

Please read the Terms carefully before you start to use the Services. By using the Services, you accept and agree to be bound and abide by these Terms and our Privacy Policy incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Services.

The Services are offered and available to users who are 18 years of age or older. By using the Services, you represent and warrant that you meet this eligibility requirement.

THESE TERMS SUPPLEMENT AND ARE IN ADDITION TO THE TERMS SET FORTH IN ANY WRITTEN AGREEMENT YOU HAVE ENTERED INTO WITH US ("CUSTOMER CONTRACT"), ANY MANAGEMENT SERVICES AGREEMENT, OR ANY INVOICE THAT YOU RECEIVE FROM US. IN THE EVENT OF A CONFLICT BETWEEN THESE TERMS AND ANY CUSTOMER AGREEMENT, MANAGEMENT SERVICES AGREEMENT, OR INVOICE, THE TERMS OF SUCH AGREEMENT OR INVOICE SHALL CONTROL.

2. About DoseMatters Solutions

DoseMatters Solutions LLC is a healthcare technology and management services organization ("MSO") that provides management, administrative, operational, technology, and business support services to affiliated medical practices specializing in personalized dosimetry treatment planning for Y-90 radioembolization. DoseMatters Solutions does not practice medicine, is not a healthcare provider, and does not employ or control the clinical providers of its affiliated medical practices. All clinical decisions are made solely by licensed physicians and clinical providers of the affiliated medical practices. By using the Services, you acknowledge that you are not entering into a provider-patient relationship with DoseMatters Solutions.

3. Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.

4. Accessing the Services and Account Security

You represent and warrant that if you are accessing the Services on behalf of a third party or organization, you are fully authorized to act on its behalf and enter into these Terms. We reserve the right to withdraw or amend the Services in our sole discretion without notice.

You are responsible for:

Making all arrangements necessary for you to have access to the Services
Ensuring that all persons who access the Services through your connection or on your behalf are aware of and comply with these Terms
Maintaining the confidentiality of your account credentials and notifying us immediately of any unauthorized access

All information you provide to register with the Services must be correct, current, and complete. We have the right to disable any username, password, or identifier at any time in our sole discretion if we believe you have violated these Terms.

5. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, algorithms, dosimetry models, treatment planning tools, and the design, selection, and arrangement thereof) are owned by DoseMatters Solutions, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on our Services without our express written permission, except for storing automatically cached files and printing reasonable copies for use in connection with the Services.

No right, title, or interest in or to the Services or any content is transferred to you. All rights not expressly granted are reserved by DoseMatters Solutions and its licensors.

6. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Services in any way that violates any applicable law or regulation
Transmit any unsolicited advertising, promotional material, or spam
Impersonate DoseMatters, its employees, or any other person or entity
Use any automated systems to access or monitor the Services
Introduce malicious code, viruses, or other harmful material
Attempt to gain unauthorized access to any part of the Services
Reverse engineer, decompile, or disassemble any software or technology underlying the Services
Interfere with the proper working of the Services or other users' access

7. Confidentiality

You acknowledge that through the use of the Services you may have access to confidential and proprietary information of DoseMatters Solutions, including but not limited to business processes, technology, pricing, customer information, and trade secrets ("Confidential Information"). You agree not to use any Confidential Information for any purpose other than the use of the Services as contemplated by these Terms, and not to disclose Confidential Information to any third party without our prior written consent.

8. Third-Party Links and Services

The Services may contain links to third-party websites or integrate with third-party services. These are provided for your convenience only. We have no control over and accept no responsibility for such third-party content or services. Your use of third-party services is at your own risk and subject to their terms and conditions.

9. Disclaimer of Warranties

YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER DOSEMATTERS SOLUTIONS NOR ANY PERSON ASSOCIATED WITH DOSEMATTERS SOLUTIONS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

TO THE FULLEST EXTENT PROVIDED BY LAW, DOSEMATTERS SOLUTIONS HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

10. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL DOSEMATTERS SOLUTIONS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, PERSONAL INJURY, PAIN AND SUFFERING, AND EMOTIONAL DISTRESS, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

11. Indemnification

You agree to defend, indemnify, and hold harmless DoseMatters Solutions, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services. We reserve the right to assume the exclusive defense and control of any claims at our expense.

12. Governing Law and Jurisdiction

All matters relating to the Services and these Terms shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of these Terms or the Services shall be instituted exclusively in the federal or state courts located in the State of Texas. You waive any and all objections to the exercise of jurisdiction by such courts and to venue in such courts.

13. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Before seeking legal recourse for any harm you believe you have suffered arising from or related to your use of the Services, you agree to inform us in writing and to give us thirty (30) days to cure the harm before initiating any action.

14. Waiver and Severability

No waiver by DoseMatters Solutions of any term or condition shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Force Majeure

DoseMatters Solutions shall not be liable for any delay or failure of performance arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, government orders, labor disputes, cyber-attacks, or failure of third-party systems.

16. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and DoseMatters Solutions regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Services.

17. Assignment

You may not assign or transfer your rights and obligations under these Terms without our prior written approval. We may freely assign, transfer, and delegate our rights and obligations under these Terms.
